Compliance Manager - Johannesburg

The purpose of the role is to ensure the Company complies with its outside regulatory requirements and internal policies. The Compliance Manager will be responsible for the corporate governance procedures ensuring each department has properly documented control procedures in place and that these are updated appropriately.

In addition, the Compliance Manager will drive the execution of the wider transformation agenda across the Group, ensuring that the Company complies with legislative requirements and best practices in furtherance of the business strategy.

Requirements

Compliance Management
  • Create, implement, administer and enforce policies, procedures and laws required for Pele to operate in accordance with the law and regulations.
  • Establish and update a compliance manual.
  • Advising on general business law issues and managing legal issues including corporate matters, procurement, health and safety and governance.
  • Advising on data protection and privacy matters and assisting the COO in the discharge of his responsibilities as Data Protection Officer.
  • Keep up to date with, and understand, relevant laws and regulations, monitor compliance with laws, regulations and internal policies.
  • Educate employees on not only the legal requirements but also the impact on the organisation if these aren't complied with.
  • Report back to business functions on current risk and compliance performance, highlighting or escalating areas of concern and contribute to robust and effective compliance controls within the organisation.
  • Review marketing materials, presentations and websites to ensure compliance with regulatory requirements.
  • Assist in the gathering of internal information in response to regulatory requests.
  • Collaborate with other departments to create a culture of compliance.
  • Develop and coordinate appropriate compliance training and education programs for all employees; ensure and understand the company’s commitment to comply with all laws, regulations, company policies, and ethical requirements applicable to the conduct of the business; assess the need for additional training and education and develop appropriate compliance programs.
  • Develop, coordinate, and/or oversee internal and external audit procedures for the purpose of monitoring and detecting any misconduct or noncompliance; if any misconduct or noncompliance is detected, recommend a solution and follow up to ensure that the noncompliance is resolved.
  • Formalize and monitor a system to enable employees to report any noncompliance without fear of retribution, ensuring that the reporting system is adequately publicized and that allegations of noncompliance are investigated and responded to promptly.
  • In consultation with the human resources department, help ensure that there is a mechanism in place for disciplining instances of noncompliance (including the failure to prevent, detect, or report any noncompliance), appropriate to the nature and extent of the deviation and ensure consistency in the application of disciplinary action.
  • In conjunction with the legal department, interface and, when appropriate, negotiate with external regulatory agencies.
  • Report to the compliance committee at its regular meetings, or as otherwise necessary, on any significant compliance issues to ensure appropriate discussion of such compliance issues and to ensure that appropriate action is taken.
Transformation Management
  • Participate actively, in collaboration with the Senior Management team in the design and delivery of the BBBEE strategy that outlines key objectives, initiatives, timeframes and related costs for Board approval.
  • Participate actively, in collaboration with management in developing a BBBEE plan for implementation.
  • Guide and assist the Group in crafting appropriate strategies and action plans to achieve the target level.
  • Identify, establish, and maintain effective working relationships with the relevant stakeholders across the organisation who have a material impact on the outcomes of BBBEE in the company.
  • Coordinate the BBBEE process in an efficient manner and guide the BBBEE stakeholders for the target levels to be achieved at operational level; guide all BBBEE stakeholders on the relevant codes of good practice.
  • Implement and maintain processes and policies to ensure compliance and improvement of scores.
  • Identify and escalate concerns for intervention.
  • Apply a structured change management approach and methodology for specific projects and initiatives; collaborate in developing a change management strategy based on a situational awareness of the details of the change and the groups being impacted by the change.
  • Educating and informing of developments on the BBBEE Codes and other sector-specific issues.
  • Assist and ensure a fair and objective nomination process for electing members to the various committees.
  • Conduct information sessions with BBBEE Committee to highlight major changes, concerns, strategies, action plans.
  • Coordinate and schedule committee annual meeting calendar.
  • Review and analyse the monthly BBBEE data reports and make recommendations on corrective action.
  • Keep track of changes and developments in BBBEE legislation and regulations.
Risk Management
  • Conduct and coordinate periodic assessments from a Compliance perspective for the Company on different levels.
  • Develop the Risk Analytics and Reporting framework & methodology for compliance. Maintain compliance metrics inventory; incl. design of new (forward looking) Metrics across all Compliance Risks in close collaboration with Subject Matter Experts and Data Specialists.
  • Performance of read-across based on quantitative and qualitative factors to provide insightful risk assessments and to identify areas for risk improvement.
  • Maintain relations with external auditors and investigate their findings and recommendations.
  • Report risk issues to the audit committee of the board of directors.
Compliance & Governance
  • Execute in adherence to all relevant regulatory and business practices.
  • Active risk management by applying and promoting a culture of on-going detection and resolution of Statutory, Regulatory compliance breaches.
  • Oversee and ensure compliance with, including but not limited to, ISO9001, IT, HR, BBBEE and corporate governance laws and all other relevant business compliance codes.
  • Oversee all Business Audit exceptions and ensure the implementation of preventative measures in the unit.
  • Drive the resolution management of the identified top 5 Business risks. Desired Skills & Qualifications
Desired Skills and Qualifications
  • B-BBEE MDP or LLB degree.
  • Strong legal experience in corporate and commercial matters.
  • 5 years of relevant experience in a B-BBEE Transformation.
  • At least 2 years of experience on management level.
  • Experience as a technical auditor for a verification agency a plus.
  • B-BBEE Legislation and demonstrated ICT BBBEE scorecard experience.
